Sorainen advised Inchcape International Holdings Limited, a wholly owned subsidiary of Inchcape plc, on entering into an agreement to acquire the exclusive BMW distribution business in Lithuania. Inchcape received merger clearance from the Lithuanian Competition Council on 21 December 2018.
This acquisition further strengthens Inchcape’s relationship with BMW Group – a core brand partner – in Northern Europe and completes the Inchcape-led consolidation of BMW’s representation across the Baltic region. Inchcape already represents BMW Group as distributor in Latvia and in Estonia. The acquisition in Lithuania is consistent with the Group’s strategic priority of investing to accelerate growth.
Sorainen advised the client on all transaction-related matters including legal due diligence, transaction support and merger clearance advice.
The Sorainen team, led by partner Sergej Butov and senior associate Jonas Kiauleikis, consisted of associates Laura Matuizaitė, Karolis Kunigėlis and Sidas Sokolovas plus counsel Vitalija Tamavičiūtė. Partner Daivis Švirinas with senior associate Edita Daukšienė and legal assistant Dobilė Minkutė advised the client on competition law matters.
