We assisted Livonia, one of the largest private equity investors in the Baltic region, with an investment in Digital Mind, a business process digitalisation specialist for large and mid-sized organisations in the Baltic States.
About the transaction
The purpose of the transaction is to facilitate the acquisition of 100% of the shares in EIP Dynamics, a prominent Microsoft Enterprise Resource Planning (ERP) solution provider in Poland. The acquisition will increase Digital Mind’s capabilities and will allow Digital Mind to create a strong regional Microsoft Business Applications champion.
The closing of the transaction (anticipated at the beginning of 2024) is subject to the Lithuanian Competition Council approval.
Our assistance and team
Our assistance included legal due diligence on Digital Mind, including its subsidiaries in Lithuania, assistance with drafting transaction documentation and negotiation of the transaction terms, assistance with the signing of the transaction, and filing an application to the Lithuanian Competition Council, and we will continue to assist the client until the closing of the transaction.
